These Terms of Use constitute a legally binding agreement between you and Northkey Marketing concerning your access to and use of our Services at northkeymarketing.com. By accessing the Services, you agree to be bound by these Terms. If you disagree, you must discontinue use immediately.
Northkey Marketing provides an AI-powered social media caption generation tool for real estate agents. The Service allows users to generate Instagram and social media captions from property listing details. The information provided through our Services is not intended for distribution in any jurisdiction where such distribution would be contrary to law.
We own or license all intellectual property rights in our Services, including all source code, databases, functionality, software, and graphics. You are granted a non-exclusive, non-transferable, revocable license to access and use the Services for your personal business purposes. You may not copy, reproduce, or exploit any part of the Services without our express prior written permission.
You retain full ownership of all content you submit. By submitting suggestions or feedback, you agree that we may use and share such feedback without compensation to you.
By using the Services, you represent that: you have the legal capacity to agree to these Terms; you are not a minor; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorized purpose; and your use will not violate any applicable law or regulation.
You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include: systematically retrieving data to create unauthorized collections; attempting to circumvent security features; disparaging or harming us or the Services; using information from the Services to harass others; uploading viruses or malicious code; engaging in automated use or scraping; attempting to impersonate another user; using the Services to send unsolicited communications; and attempting to compete with us using our Services or Content.
Our Services use artificial intelligence to generate social media captions. You acknowledge that: AI-generated content may not always be accurate, complete, or appropriate; you are solely responsible for reviewing all generated content before publishing it; you are solely responsible for any content you post to social media platforms; Northkey Marketing is not responsible for any inaccuracies, errors, or omissions in AI-generated content; and we make no representations about the suitability of generated content for any particular purpose.
We reserve the right to monitor the Services for violations of these Terms, take legal action against violators, restrict or disable access for any user at our sole discretion, and manage the Services to protect our rights and ensure proper functioning.
Northkey Marketing offers the following subscription plans:
Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time from your billing settings page. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial billing periods.
These Terms remain in effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason at our sole discretion. If we terminate or suspend your account, you are prohibited from registering a new account. We may take appropriate legal action for violations of these Terms.
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We have no obligation to update any information on our Services. We will not be liable for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times and have no liability for any interruptions or downtime.
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, United States, without regard to conflict of law principles.
To expedite resolution of any dispute, the parties agree to first attempt to negotiate informally for at least 30 days before initiating arbitration. Any dispute not resolved through informal negotiation shall be resolved through binding arbitration. Arbitration shall take place in Maine, United States. The parties agree that any arbitration shall be limited to the dispute between the parties individually — no class action arbitration is permitted.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT. WE WILL NOT BE LIABLE FOR ANY ERRORS OR INACCURACIES IN CONTENT, PERSONAL INJURY OR PROPERTY DAMAGE, UNAUTHORIZED ACCESS TO OUR SERVERS, ANY INTERRUPTION OF TRANSMISSION, OR ANY BUGS OR VIRUSES TRANSMITTED THROUGH OUR SERVICES.
IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE MOST RECENT ONE-MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or expense arising from: your use of the Services; breach of these Terms; breach of your representations; violation of any third-party rights; or any harmful act toward another user of the Services.
We will maintain certain data that you transmit to the Services for the purpose of managing performance. You agree that we have no liability to you for any loss or corruption of any such data, and you waive any right of action against us arising from any such loss.
These Terms and any policies posted on the Services constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not constitute a waiver of such right. These Terms operate to the fullest extent permissible by law. We may assign any of our rights at any time. We are not liable for any loss or damage due to causes beyond our reasonable control.
